Abdabis LLC Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User", "Client", "you"), and Abdabis LLC, a Wyoming single-member limited liability company ("Company", "we", "us", or "our"), concerning your access to and use of the website located at https://abdabis.com (the "Site"), as well as any associated software, SaaS platforms, application programming interfaces (APIs), web applications, tools, and digital solutions operated under Abdabis LLC (collectively, the "Services").

BY ACCESSING OR USING OUR SITE AND SERVICES, YOU EXPRESSLY AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

2. Eligibility & Commercial Use

  1. Business-to-Business (B2B) Focus: Our Site and Services are intended primarily for business and professional use within maritime, logistics, and technology sectors.
  2. Legal Capacity: By using our Services, you represent and warrant that you are at least 18 years of age and possess the legal authority to enter into this Agreement on behalf of yourself or the legal entity/corporate organization you represent.

4. Intellectual Property Rights & Ownership

  1. Proprietary Rights: Unless otherwise indicated, the Site and Services—including but not limited to all source code, databases, software architectures, algorithms, functionality, user interface (UI/UX) designs, graphics, text, logos, trademarks, and media content (collectively, the "Content")—are owned, controlled, or licensed by Abdabis LLC and are protected by United States and international copyright, trademark, and intellectual property laws.
  2. Limited License: Subject to your compliance with these Terms, Abdabis LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Site and Services solely for internal business evaluation or authorized operational use.
  3. Restrictions: You agree NOT to:
    • Copy, modify, duplicate, create derivative works from, or reverse-engineer any portion of our software code, UI designs, or proprietary algorithms.
    • Frame, mirror, scrape, or extract data from the Site/Services through automated means (bots, spiders, or scrapers) without express written consent.
    • Remove, alter, or obscure any copyright or trademark notices displayed on the Site or Services.

5. Design Partner Program, Beta Services & LOIs

  1. Beta Services & Prototypes: From time to time, Abdabis LLC may offer early-access, beta, pre-release, or prototype software features (e.g., Design Partner programs). You acknowledge that Beta Services are provided "AS IS" and may contain bugs, errors, or incomplete API integrations.
  2. Non-Binding Letters of Intent (LOIs): Execution of a Design Partner agreement or Non-Binding Letter of Intent (LOI) with Abdabis LLC does not create a binding legal obligation to purchase paid subscriptions until a definitive Master Services Agreement (MSA) or formal commercial contract is executed.
  3. Feedback: Any feedback, operational suggestions, code improvements, or workflow recommendations you provide regarding our Services shall become the sole and exclusive property of Abdabis LLC, without any obligation of compensation or credit to you.

6. User Accounts & Security

  1. Account Credentials: If you are provided with login credentials or portal access, you are responsible for maintaining the strict confidentiality of your username and password.
  2. Account Responsibility: You are fully responsible for all activities, data entries, and system configurations made under your account. You agree to notify us immediately at info@abdabis.com upon discovering any unauthorized access or security breach.

The Site or Services may contain links, references, or API integrations with third-party software, data feeds, or maritime platforms. Abdabis LLC does not endorse, guarantee, or assume responsibility for the accuracy, uptime, or data privacy practices of any third-party websites or services. Accessing third-party resources is entirely at your own risk.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ABDABIS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE, SERVICES, AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABDABIS LLC, ITS MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES—INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION—ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, ABDABIS LLC'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE TOTAL AMOUNT PAID BY YOU TO ABDABIS LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100.00 USD), WHICHEVER IS LESS.

11. Indemnification

You agree to defend, indemnify, and hold harmless Abdabis LLC, its officers, managers, members, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your breach of these Terms.
  2. Your improper or unauthorized use of the Services.
  3. Your violation of any third-party rights, including intellectual property or data privacy rights.
  4. Any illegal or unauthorized data submitted through your account.

12. Governing Law & Jurisdiction

These Terms and your use of the Site and Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in the State of Wyoming, USA. You hereby irrevocably consent to the personal jurisdiction and venue of such courts.
